Terms of Service

Welcome to Bailaspot. These Terms of Service ("Terms") form a legally binding agreement between you and Bailaspot ("Bailaspot," "we," "us," or "our") and govern your access to and use of our website, mobile experience, and related services (the "Service").

By creating an account or otherwise using the Service, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Service.

1. Who can use Bailaspot

You must be at least 16 years old (or the higher minimum age required by the laws of your country) to create an account. By using the Service, you represent and warrant that:

You meet the minimum age requirement.
You have the legal capacity to enter into these Terms.
You will comply with these Terms and all applicable laws and regulations.
The information you provide to us is accurate, current, and complete.

If you are using the Service on behalf of an organization or other entity, you represent that you have authority to bind that entity to these Terms, and "you" refers to that entity.

2. Your account

To access most features of the Service, you need to create an account. You agree to:

Provide accurate and up-to-date information when registering.
Keep your login credentials confidential and not share them with anyone.
Be responsible for all activity that occurs under your account.
Notify us immediately at bailaspot@gmail.com if you suspect unauthorized access to your account.

We may refuse, suspend, or terminate accounts at our discretion, including if we believe an account has been used to violate these Terms.

3. The Service

Bailaspot is a platform that allows users to discover, host, and organize social dance events and parties. Bailaspot itself does not host parties, sell tickets, or organize events. We provide the tools that let users (including hosts and attendees) connect with one another.

We may add, change, or remove features at any time, and we may limit access to certain features or to the Service as a whole, with or without notice, where reasonable.

4. Hosting parties

If you use Bailaspot to host or organize a party (a "Host"), you are solely responsible for that party, including:

Choosing a suitable venue and ensuring you have the right to use it.
Complying with all applicable laws, regulations, and rules — including those relating to safety, noise, capacity, alcohol, music licensing, taxes, and any required permits or insurance.
The accuracy of all information you publish about the party (date, time, location, capacity, age limits, rules, etc.).
The conduct of attendees and the safety of guests during the event.
Resolving any disputes with attendees, neighbors, venues, or third parties.

You agree that Bailaspot is not a party to any agreement between you and your guests, co-hosts, venues, vendors, or other third parties, and that we have no responsibility or liability for parties listed on or organized through the Service.

5. Attending parties

If you use Bailaspot to find or attend a party, you understand that the Host (not Bailaspot) is responsible for the event. You are responsible for:

Reading the event details, rules, and any age or other restrictions before attending.
Your own behavior at the event and your interactions with the Host and other attendees.
Bringing any required documents (such as ID) and complying with the Host's and venue's rules.
Your own safety, transportation to and from the event, and any costs associated with attending.

6. User content

"User Content" means anything you submit to or share through the Service, including event listings, photos, descriptions, comments, messages, and profile information.

Your responsibility. You are solely responsible for your User Content and the consequences of posting it. You represent and warrant that (a) you own or have all necessary rights to your User Content and (b) your User Content does not violate these Terms or any applicable law.

License to Bailaspot. You retain ownership of your User Content. By submitting User Content to the Service, you grant Bailaspot a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to host, store, reproduce, modify (for technical purposes such as resizing), display, distribute, and otherwise use your User Content solely for the purpose of operating, providing, improving, and promoting the Service. This license ends when you remove your User Content from the Service, except to the extent it has been shared with others or where retention is required by law.

Feedback. If you send us feedback or suggestions, you grant us an unrestricted right to use them without any obligation to you.

7. Acceptable use

You agree not to use the Service to:

Violate any law, regulation, or third-party right (including intellectual property and privacy rights).
Post or share content that is unlawful, fraudulent, defamatory, harassing, threatening, hateful, sexually explicit, or that promotes violence or discrimination.
Organize or promote events that involve illegal activity or that endanger the safety of attendees or others.
Impersonate any person or entity, or misrepresent your affiliation with any person or entity.
Harvest, scrape, or otherwise collect information about other users without their consent.
Upload viruses, malware, or any other code intended to harm or disrupt the Service.
Attempt to gain unauthorized access to the Service, other accounts, or any related systems or networks.
Interfere with or disrupt the Service, servers, or networks connected to the Service.
Use the Service to send spam, unsolicited messages, or unauthorized advertising.
Use automated tools (bots, crawlers, etc.) to access the Service except as expressly permitted by us in writing.

We may remove content or restrict access at our discretion if we believe these rules have been violated.

8. Intellectual property

Bailaspot and its licensors own all right, title, and interest in and to the Service, including all software, designs, text, graphics, logos, and trademarks, except for User Content. We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for personal, non-commercial purposes in accordance with these Terms.

You may not copy, modify, distribute, sell, lease, reverse engineer, or create derivative works of any part of the Service unless we give you written permission or applicable law allows it.

9. Copyright complaints

If you believe that content on the Service infringes your copyright, please send a notice to bailaspot@gmail.com that includes:

A description of the work you claim has been infringed.
A link or other description sufficient to locate the allegedly infringing content.
Your contact information.
A statement, made under penalty of perjury where applicable, that you are the rights holder or authorized to act on their behalf and that the use is not authorized.
Your physical or electronic signature.

We will review valid notices and take appropriate action, which may include removing the content and terminating repeat infringers' accounts.

10. Third-party services

The Service may link to or integrate with websites or services we don't own or control. We are not responsible for those third-party services, and your interactions with them are governed by their own terms and policies.

11. Termination

You may stop using the Service at any time and delete your account by following the instructions in your account settings or by contacting us at bailaspot@gmail.com.

We may suspend or terminate your access to the Service, with or without notice, if we reasonably believe you have violated these Terms, created risk or possible legal exposure for us or other users, or for any other lawful reason. Upon termination, the rights and licenses granted to you under these Terms will end, but provisions that by their nature should survive termination (including ownership, disclaimers, limitations of liability, and dispute resolution) will continue to apply.

12. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, TO THE MAXIMUM EXTENT PERMITTED BY LAW. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS, OR THAT ANY CONTENT — INCLUDING USER CONTENT AND EVENT INFORMATION — IS ACCURATE, RELIABLE, OR COMPLETE.

BAILASPOT IS NOT RESPONSIBLE FOR THE CONDUCT, SAFETY, LEGALITY, OR QUALITY OF ANY PARTY, HOST, ATTENDEE, OR VENUE LISTED ON OR FOUND THROUGH THE SERVICE. YOU USE THE SERVICE — AND ATTEND OR HOST ANY PARTY — AT YOUR OWN RISK.

Some jurisdictions do not allow certain warranty disclaimers, so some of the disclaimers above may not apply to you.

13. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BAILASPOT AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUES, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU HAVE PAID TO BAILASPOT IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED EUROS (EUR 100).

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you. Nothing in these Terms limits liability that cannot be limited under applicable law.

14. Indemnification

You agree to indemnify and hold harmless Bailaspot and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to: (a) your use of the Service; (b) your User Content; (c) any party you host or attend; (d) your violation of these Terms; or (e) your violation of any law or third-party right.

15. Changes to the Service and Terms

We may change the Service or these Terms at any time. If we make material changes to the Terms, we will notify you by posting the updated Terms on the Service and updating the "Last updated" date above, and where required by law we will provide additional notice. Your continued use of the Service after the changes take effect constitutes your acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Service.

16. Governing law and disputes

These Terms and any disputes arising out of or relating to them or the Service will be governed by the laws of Portugal, without regard to conflict-of-laws principles, except where mandatory consumer protection laws of your country of residence apply.

We encourage you to contact us first at bailaspot@gmail.com so we can try to resolve any issue informally. If a dispute cannot be resolved informally, it will be resolved by the competent courts of Portugal, unless mandatory law gives you the right to bring proceedings elsewhere.

17. Miscellaneous

Entire agreement. These Terms and the Privacy Policy are the entire agreement between you and Bailaspot regarding the Service and supersede any prior agreements.
Severability. If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.
No waiver. Our failure to enforce any right or provision will not be considered a waiver of that right or provision.
Assignment. You may not assign or transfer these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
Notices. We may give notices to you by posting on the Service or sending an email to the address associated with your account. You may give notice to us at bailaspot@gmail.com.
